De rechtspositie van een statutair bestuurder in arbeidsrechtelijk en vennootschapsrechtelijk perspectief is complex te noemen. Verschillende rechtsgebieden lopen immers in elkaar over en beïnvloeden elkaar.
Tijdens het ochtendgedeelte van de cursus staat de aansprakelijkheidsproblematiek centraal. Nagegaan wordt wanneer een bestuurder aansprakelijk is voor schulden van de vennootschap jegens (individuele) crediteuren, jegens de vennootschap zelf en wanneer een bestuurder aansprakelijk kan zijn in het geval van een faillissement. Aan de hand van concrete casusposities wordt duidelijk gemaakt onder welke omstandigheden de bestuurder nog ‘binnen de lijntjes’ blijft en wanneer hij de grenzen van het toelaatbare heeft overschreden.
In het middaggedeelte komen de meest relevante arbeidsrechtelijke en vennootschapsrechtelijke aspecten van benoeming, beloning, schorsing en ontslag aan de orde. Daarbij komt uiteraard zowel de meest relevante als recente jurisprudentie aan de orde.

Na afloop van de cursus is de cursist op de hoogte van de verschillende wijzen waarop een bestuurder aansprakelijk kan worden gesteld voor schulden, waarbij onderscheid wordt gemaakt tussen interne en externe aansprakelijkheid. Hij is in staat aan de hand van praktijkgevallen aan te geven of een bestuurder wel of niet aansprakelijk kan worden gesteld. Voorts is hij op de hoogte van verschillen tussen ‘gewone leidinggevenden’ en ‘statutair bestuurders’ ten aanzien van benoeming, schorsing en ontslag. Hij is in staat zowel de arbeidsrechtelijke als de vennootschapsrechtelijke aspecten van elkaar te onderscheiden.
